How we draft

Be Contract Wise (Scotland) is prepared by a retired solicitor qualified in England and Wales (LLB, LLM), with over 30 years' experience of international commercial law. This page explains how the app produces a contract, what is fixed and what is tailored, and how we keep it up to date.

Who prepares the content

The author holds law degrees at bachelor's and master's level (LLB, LLM). His career in commercial law spans more than three decades, including several years with the international law firm Lovells, work with other international law firms, and considerable in-house legal experience advising businesses directly. He designed the drafting approach behind Be Contract Wise (Scotland), including the fixed wording used for the clauses where precision matters most, and prepared these guides.

He is retired from practice and remains registered with the Solicitors Regulation Authority. He is not acting for you when you use the app or read these guides, and they are not a substitute for advice on your own situation. He holds no legal qualification in Scotland and does not claim any authority to practise or advise on Scots law.

From your answers to a draft

The app puts a brief series of questions to you about your transaction, all in everyday language. From your replies, the drafting engine prepares commercial terms that fit your particular deal, then supplies the standard provisions that any properly drafted contract of that kind requires. A simple explanation accompanies each clause.

What is fixed wording

Where accuracy counts most, the drafting model is not relied on. Instead, the app uses fixed wording that has been checked in advance: the governing law clause, your chosen route for dispute resolution, the limitation of liability clause matching the cap you pick, the counterparts clause, the execution blocks, plus any clause added from the clause library.

Numbering, cross-references and checks

Clause and sub-clause numbering is handled by the app itself, and cross-references are only worked out at the final stage, so they remain accurate if clauses are altered. Before you export, an automated check flags defined terms that are used but never defined (or defined but never used), clause or schedule references that are broken, and any placeholders you have yet to fill in.

Keeping the law current

We check these guides and the drafting instructions against legislation and official guidance. Any change affecting the drafting is logged on our recent changes page. The latest review of this material took place on 24 September 2026.

What the app does not do

In Scotland the law restricts certain documents to solicitors and other qualified persons. The app therefore does not prepare leases, Private Residential Tenancies, standard securities or other deeds and writs relating to land. For a commercial lease it prepares heads of terms for your solicitor; for a residential tenancy it points you to the Scottish Government's free model tenancy agreement.

Be Contract Wise (Scotland) provides legal information and draft documents, not legal advice. It does not know everything about your circumstances. We strongly recommend independent review by a qualified solicitor before you sign anything — especially for high-value, long-term or unusual arrangements. Find a lawyer.

Your privacy

We pass your answers to our drafting service solely so that it can produce your contract, and no copy is kept on our servers. Any drafts you save remain in your own browser. Our privacy notice has the details.
